SEC unveils a crypto safe harbor this month: what does it mean?

The US regulator SEC is expected to present its long-awaited crypto safe harbor this July: exemptions for startups, DeFi and tokenized securities. A milestone after more than a decade of legal uncertainty.

The US securities watchdog, the SEC, is expected to unveil one of the most talked-about crypto measures ever this month: a safe harbor — a protected regulatory zone — for crypto projects, followed by a public consultation. For an industry that has operated under legal uncertainty for over a decade, this is a milestone.

What's in the proposal

The plan includes exemptions for startups valued at up to 5 million dollars (roughly €4.4 million) during their first four years, room to raise up to 75 million dollars (roughly €65 million) through investment contracts involving crypto assets, and carve-outs for tokens once their creators no longer play an essential managerial role — the point at which a project is truly decentralized. DeFi and tokenized securities also get exemptions.

From enforcement to clear rules

For years the SEC was known for regulation by enforcement: no clear rules, plenty of lawsuits. Under Chairman Paul Atkins, that course has reversed. In March the SEC already established that most crypto assets are not themselves securities, with a clear division of labor between the SEC and the CFTC. The safe harbor was originally slated for January but was delayed — partly because of the Clarity Act, the crypto bill making its way through Congress. Ideally both tracks wrap up before August, when the midterm campaign brings everything to a halt.

What does it mean for Europe?

Europe led the way with MiCA; the US is now catching up fast. Clarity on both sides of the Atlantic lowers the barrier for institutional capital — but it also fuels competition between regulators. If American rules turn out friendlier for startups, young talent could drift away from Europe. And note: an announced proposal is not yet law — the consultation round may still reshape the final version.
